01Purpose and B2B Scope

These Terms of Use define the terms and conditions for using the ReplyTop SaaS solution. ReplyTop is a B2B SaaS solution designed to centralize and generate responses to customer reviews via artificial intelligence.

Any subscription or use of the platform implies unreserved acceptance of these Terms of Use by the user acting strictly for professional purposes.

02Service Access and Publication Mandate

Accessing features requires creating a professional account and connecting the user's business listings.

The user is solely responsible for maintaining the confidentiality of their credentials and for all actions performed from their account.

03Platform Features

ReplyTop provides a suite of SaaS tools for e-reputation management:

• Centralization: Continuous aggregation of customer reviews from connected platforms.
• AI Copywriting: Generation of suggested responses tailored to the content and rating of each review.
• Alerts and notifications: Real-time alerts (via email or messaging) upon receiving critical reviews.
• Analytics and statistics: Dashboard tracking for customer satisfaction trends.

04User Responsibility and Artificial Intelligence

When using the service, the user agrees to:

• Only connect business listings for which they legally hold administrative rights.
• Comply with the terms of use of third-party review platforms.
• Assume full responsibility for published responses towards their customers.

05Service Availability

ReplyTop strives to ensure continuous availability of its SaaS platform, subject to necessary maintenance operations.

As ReplyTop is bound by a best-efforts obligation, it cannot guarantee uninterrupted or error-free operation.

Since the proper functioning of the service also relies on third-party APIs and services, ReplyTop cannot be held liable for access disruptions of external origin.

06Intellectual Property

All technical, graphical, and software elements of the ReplyTop solution remain the exclusive property of the publisher.

The Client is granted a non-exclusive, strictly personal license to use the service for the duration of their subscription.

However, the Client retains full and complete ownership of all their business data and customer reviews.

07Data Protection and Processing (GDPR)

In accordance with the General Data Protection Regulation (GDPR), ReplyTop acts as a Data Processor and the Client as a Data Controller.

ReplyTop implements technical and organizational measures compliant with industry standards to ensure the security and confidentiality of processed data.

Client data is used exclusively for providing the service and is never resold or commercially exploited by third parties.

08Limitation of Liability

ReplyTop shall in no event be liable for indirect damages, operating losses, loss of revenue, or reputational damage suffered by the Client.

In any event, ReplyTop's financial liability is expressly limited to the amount actually paid by the Client during the last twelve (12) months of subscription.

09Suspension, Force Majeure, and Applicable Law

ReplyTop reserves the right to suspend access to the service in case of non-payment or serious breach of these terms.

Neither party shall be held liable in the event of force majeure as defined by law and jurisprudence.

These Terms of Use are governed by French law. Any dispute relating to their interpretation or execution falls under the exclusive jurisdiction of the courts of Nanterre / Paris.
