Terms of Sale

These Terms of Sale exclusively govern the contractual relationship between ReplyTop and its professional clients (B2B).

01Purpose and B2B Status

These Terms of Sale apply to any paid subscription to the ReplyTop SaaS solution. They define the financial and contractual conditions for service provision.

The Client declares that they subscribe to the service exclusively for the needs of their professional activity. Order validation constitutes unconditional acceptance of these Terms of Sale.

02Subscription Plans and Quotas

ReplyTop offers various subscription plans whose features and limits (volume of processed reviews, options) are detailed on the Pricing page of the website.

In case of exceeding the quotas included in the subscribed plan, automated processing may be paused until the next cycle or adjusted according to the terms provided.

03Pricing and Commitment

Prices are expressed in Euros and exclude taxes (HT). Applicable VAT is added upon invoicing.

Annual commitment and Discount

Subscriptions with an annual commitment benefit from a preferential rate. In return, the annual fee is invoiced and payable in full upon subscription and is non-refundable during the term.

ReplyTop reserves the right to modify its pricing. Any price modification on an ongoing subscription will be notified in advance and will apply upon renewal.

04Payment and Security

Subscription payments are made by credit card via our authorized secure payment provider (Stripe) through recurring automatic debits.

The Client agrees to maintain a valid payment method throughout the duration of their subscription.

05Duration, Renewal, and Termination

Subscriptions are concluded for the selected firm period (monthly or annual) and renew automatically by tacit agreement.

  • Monthly subscription: Terminable at any time from the customer dashboard, taking effect at the end of the current monthly period without pro-rata refund.
  • Annual subscription: Terminable before the annual due date to prevent renewal. Access remains active until the paid term expires, without early refund.

06Absence of Right of Withdrawal (B2B) & Free Trial

In accordance with consumer law provisions, the right of withdrawal is excluded for service contracts concluded between professionals (B2B).

No-commitment trial offer

To allow the Client to test the solution and verify its suitability for their needs prior to any financial commitment, ReplyTop offers a free trial period.

07Late Payment and Penalties

In case of payment default or debit rejection, the Client will have a grace period of seven (7) days to regularize their situation.

In accordance with legal provisions, any persistent late payment will incur late penalties and a fixed recovery indemnity of forty (40) euros.

ReplyTop reserves the right to suspend access to platform features in case of persistent non-payment.

08Force Majeure and Applicable Law

The execution of contractual obligations will be suspended upon the occurrence of a force majeure event.

These Terms of Sale are governed by French law. In case of dispute, exclusive jurisdiction is assigned to the Commercial Court of Nanterre / Paris.
